These Terms of Service (the “Terms”) govern your access to and use of the TraffXchange platform, including the SMS switch, dashboard, APIs and related services (collectively, the “Services”). By accessing or using the Services you agree to be bound by these Terms.
1. Eligibility & accounts
The Services are intended for businesses and professionals operating in telecommunications and messaging. You must be legally able to enter into a binding agreement and must provide accurate account information. You are responsible for safeguarding your credentials, API keys and SMPP passwords, and for all activity that occurs under your account. Notify us immediately at [email protected] of any suspected unauthorized use.
2. The Services
TraffXchange provides IPRN SMS interconnection, number management, inbound revenue share, outbound forwarding, content-route (CR/NCR) delivery, billing and reporting. We may add, modify or discontinue features. The Services are provided on a commercial basis under the plan or agreement applicable to your account.
3. Acceptable use
You agree to use the Services only for lawful purposes and in compliance with our Acceptable Use Policy, all applicable laws and regulations, and the rules of relevant carriers and regulators. Prohibited activity includes fraud, unsolicited bulk messaging (spam), artificially generated or inflated traffic, phishing, distribution of malware, and any attempt to intercept messages not lawfully destined for you. We may suspend or terminate access for violations.
4. Traffic, billing & settlement
Revenue share, rates, payouts and credit notes are calculated from your message detail records and the rates applicable to your account and ranges. Balances and statements are presented in the currencies enabled for your account. You are responsible for any taxes arising from your use of the Services. We may withhold settlement where traffic is suspected to be fraudulent, artificially generated, or in breach of these Terms pending investigation.
5. Confidentiality of messages & OTPs
Message content, one-time passwords (OTPs) and related metadata may be confidential and are subject to legal protection. You must only access content you are lawfully entitled to, must not retain or disclose it beyond what is necessary to provide your service, and must comply with our Data Policy and Privacy Policy. Misuse of OTP or message content is a material breach of these Terms.
6. Service availability & warranties
We work to provide reliable, secure Services but, to the maximum extent permitted by law, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant uninterrupted or error-free operation.
7. Limitation of liability
To the maximum extent permitted by law, TraffXchange and its affiliates will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenues, data or goodwill, arising out of or relating to your use of the Services. Our aggregate liability for any claim is limited to the amounts paid by you for the Services in the three months preceding the event giving rise to the claim.
8. Suspension & termination
We may suspend or terminate access immediately for breach of these Terms, suspected fraud or abuse, legal or regulatory requirement, or risk to the platform or other users. You may stop using the Services at any time. Provisions that by their nature should survive termination will do so.
9. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the “last updated” date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
